Job Summary
The in-house legal department at Verano is seeking a Corporate Paralegal to join our Chicago office. The role is responsible for assisting with state corporate and federal securities filings, including assisting in review of such documents; assisting with drafting corporate documents, including ancillary transaction agreements, governance documents and board resolutions; managing the corporate structure chart and entities; updating and maintaining corporate records, including policies and minute books; communicating with in-house attorneys, outside legal counsel, Company officers and board members; and updating and maintaining the Company’s EDGAR documents and profiles.
Essential Duties and Responsibilities
- Assist with state corporate and federal securities filings, including filings with Verano’s stock exchange, the Canadian Securities Administration (CSA), and the U.S. Securities and Exchange Commission (SEC), including Form 10-K, Form 10-Q, Form 8-K, DEF14A, Form 3 and Form 4.
- Maintaining the Company’s EDGAR profile and assisting with the maintenance of the Company’s officers’ and directors’ EDGAR profiles and SEC filings.
- Assist in drafting corporate documents, including ancillary transaction agreements, governance documents and board resolutions.
- Effectively manage Verano’s structure charts and corporate entities.
- Effectively update and maintain Verano’s corporate records, including policies and minute books.
- Provide support for M&A transactions, debt and equity financings, contract review and other legal projects as needed.
Minimum Qualifications
- Experience at a law firm and/or in-house at a public company as a corporate paralegal.
- Strong verbal and written communication, research, organizational and problem-solving skills.
- Highly motivated to learn and explore the legal intricacies of the cannabis industry.
- Capable of leading multiple projects independently with expert project management skills.
- Ability to demonstrate a high level of confidentiality.
Preferred Qualifications
- 1+ year working for a publicly traded company.
- Experience using EDGAR for filing SEC documents.
- Experience drafting corporate documents and maintaining structure charts.
What We Offer
Verano Base Pay Range
$60,000 - $70,000
Actual pay is based on experience, qualifications, and location of the role. Roles may be eligible for annual bonus program based on individual and company performance.
